Chapter 1 General rules
Article 1 The Association has been formally named as the Chinese Hospital Association,or abbreviated as the CHA.The logo of the Association is “

”.
Article 2 The Association is a national,trade-oriented,and non-profit-making mass organization formed voluntarily by all types and all levels of healthcare institutions(excluding rural healthcare stations,clinics,and infirmaries)that have legally obtained their business license in health care.The Association has an independent legal person eligibility.
Article 3 The purpose of the Association is to:(1)obey the State's constitution,laws,regulations and policies,and implement the State's relevant policies and guidelines on health undertakings;(2)protect the legal rights and interests of the members;(3)play an active role as an administrative body for the trade instruction,self-regulation,coordination,and supervision,and try its best to improve the management level of member institutions,promote the sustainable and healthy development of the reform and construction of healthcare institutions,and thus protect the people's health and serve the construction of socialistic modernizations.
Article 4 The Association provides professional instructions to its members according to relevant laws,regulations,and these Statutes.
Article 5 The Association takes business instructions from the Ministry of Health and is under the supervision and the administration of Ministry of Civil Affairs.
Article 6 The headquarters of the Association has been launched in Beijing.
Chapter 2 Mission
Article 7 The mission of the Association has been designed to:
1.Advocate and obey the State's laws and regulations,implement the State's policies and guidelines on health undertakings,assist the government authorities to reinforce administration on trade self-regulation,and promote the reform,construction,and development of hospitals and other healthcare providers in China.
2.Protect the legal rights and interests of the members,and protect the legal rights and interests of hospitals and other healthcare providers and their managerial staff,so as to build a harmonious and orderly operation environment.
3.Conduct investigations and surveys in medical services,so as to understand the status quo,perspectives and needs of hospitals and other healthcare providers;propose constructive suggestions to government authorities,and to provide scientific and objective basis for the formulation of laws,regulations,and relevant policies and for macro policy-decision.
4.Authorized by the health authorities,conduct trade supervision and administration on medical ethics,healthcare quality and healthcare safety,so as to impel hospitals and other healthcare providers to improve their healthcare quality and service levels,ensure the safety of healthcare services,and reinforce the capabilities to address public health emergencies.
5.Assigned by the health authorities,assist to establish the trade administration guidelines and technical standards and carry out relevant accreditations. Conduct researches on the theories and techniques of scientific management, and organize investigations,surveys,reviews,and academic exchanges concerning key research programs.
6.Strengthen the links between hospitals and other healthcare providers and administrative authorities,relevant social bodies,communities,and the vast majority of the people,reinforce the links,corporation,communication,and cooperation among hospitals and other healthcare providers,and promote such relationships between hospitals and other healthcare providers and the relevant social bodies.
7.Conduct continuous education and position training in hospital management and other related professional fields,and promote the professional levels of hospital managerial staff.
8.Assigned by the health authorities,facilitate to establish and perfect the evaluation system of hospital managerial staff, and carry out practicing qualification training and attestation.Improve and promote the management and operation of hospitals and other healthcare providers.
9.Appraise,commend,and encourage excellent hospital managerial staffexcellent scientific researches,and excellent academic works and papers.
10.Support the healthcare practices in rural areas and communities, and reinforce the advance of healthcare levels in western regions and impoverished areas.
11.Assigned by relevant authorities, assist the standardized construction and quality analysis and appraisal for hospital buildings and commonly used instrument and equipment.
12.Compile and publish academic periodicals,books,audio products and other information materials in the fields of scientific management.
13.Initiate economic and technological entities according to state's relevant policies,carry out financial auditing and assets evaluation for hospitals and medical institutions concerned, provide brand accreditation for related products and services and other professional consultations and services.
14.Enhance links and communication with foreign academic institutions of hospital management,and carry out friendly cooperation and exchanges with international partners and partners in Hong Kong,Macau,and Taiwan.
15.Undertake other work assigned by the administrative authorities.
Chapter 3 Membership
Article 8 The Association membership comprises group member,individual member,and senior member;when necessary,honorary member may be invited and enterprise member may be developed.
Article 9 All members are to abide the Association's Statutes,willing to attend the Association and pay membership fees,having nationwide reputation in the field of hospital management,and meeting the following conditions,may petition to join the Association.
1 Group membership
1.1 Hospitals, specialized disease prevention & treatment institutes,women and children healthcare centers, nursing houses,emergency centers,clinical laboratory centers,and urban community healthcare service centers(stations) at all levels that have obtained legal Medical Institution License from the health authorities.
1.2 The People's Liberation Army or the People's Armed Police Forces affiliated healthcare institutions that have been approved to provide healthcare service to the general populations.
1.3 Scientific research, teaching, and consultation institutions relevant with hospital management and operation.
1.4 Subnational (provinces, autonomous regions, and municipalities directly under the Central Government) hospital associations (societies) and other relevant academic organs.
2 Individual membership
2.1 Institution-level directors of the group members.
2.2 Institution-level deputy directors of the group members as well as chiefs of the functional departments and professional departments who meet the following requirements:
2.2.1 Individual who has acted as the deputy director of a Grade III or equal hospital for one year or above or has been engaged in hospital management and obtains a professional title of associate professor or above.
2.2.2 Individual who has acted as the deputy director of a Grade II or equal hospital or chief of the functional department or professional department of a Grade III or equal hospital for two years or above.
2.3 Individual who has obtained a bachelor degree in health/hospital management and has a relevant working experience in a healthcare institution for three years or above.
2.4 Individual who has obtained a bachelor degree and has a relevant working experience in a healthcare institution for five years or above.
2.5 Members of other scientific and technical societies, associations, and research institutes may also apply for the membership of this Association.
3 Senior membership
Individuals who have retired and left their management positions, had been a member of this Association for over five years before their retirement and have been actively and enthusiastically supported and participated in activities sponsored by this Association, may be invited to be the senior member of this Association after having been examined and approved by the organizational department of this Association.
4 Honorary membership
Domestic and foreign experts and well-known personages who have been actively and enthusiastically supported the Association’s work and have made important contributions to the development of healthcare management in China and international communication may be invited as the honorary members of this Association.
5 Enterprise membership
Enterprises that agree on the Association’s Statute and willing to participate in the Association’s activities and support the Association’s work may be developed as the enterprise member after having been examined by the organizational department of the Association.
Article 10 Application for membership
1.To address a written request to this effect to CHA;
2.An organ authorized by the executive council will issue a membership certificate to the qualified applicant.
Article 11 All the members are given the following rights:
1.Rights to elect, to be elected and to vote.
2.Participation in the Association's activities.
3.Priority of obtaining services from the Association.
4.Rights to propose suggestions and comments to the Association and rights to supervision.
5.Voluntary application and free withdrawal.
Article 12 All the members are required to fulfill the following obligations:
1.To abide the Association's Statutes and implement the Association's decisions.
2.To assert the Association's legal rights and benefits and safeguard the Association's reputation.
3.To accomplish the work assigned by the Association;
4.To remit membership fees accordingly: group members, individual members, and enterprise members remit their membership fees according to the standards established by the national representative assembly of members.
5.To report events to the Association and provide relevant suggestions.
Article 13 A member who has decided to withdraw from the Association shall inform the Association in writing in advance and hand back the membership certificate.
Article 14 Any member who has been found to deviate from these Statutes, upon motioned by the executive council or the standing executive council, may be removed of their memberships.
Chapter 4 Organization
Article 15 The national representative assembly of members has been designated as the supreme governance of the Association. The national representative assembly of members exercises the following functions and powers:
1.To enact and amend these Statutes;
2.To elect and remove the directors;
3.To examine and approve the work report and fiscal report of the executive council and determine the Association's policies and tasks;
4.To decide termination affairs;
5.To decide other vital association affairs.
Article 16 The national representative assembly of members are to be summoned by more than two thirds of the member deputies to the assembly,and its resolution can not take effect until more than one half of all those attendances adopt the motion.
Article 17 The national representative assembly of members is elected for a term of five years. For some specific conditions the assembly meeting shall be brought forward or postponed,it shall be voted and approved by the executive council,examined by the Ministry of Health and approved by the Ministry of Civil Affairs. However, such postpone shall be no longer than one year.
Article 18 The executive council has been assigned to act as the executive organ of the national representative assembly of members and leads the Association's daily work during its recess.It is responsible to the national representative assembly of members.
Article 19 The executive council exercises the following functions and powers:
1.To execute the resolutions made by the national representative assembly of members;
2.To elect and remove president, vice presidents and secretary-general;
3.To summon a national representative assembly of members as per the agenda or as needed.
4.To present a work report and fiscal report to the national representative assembly of members;
5.To decide the application and withdrawal of members;
6.To decide the establishment of offices, branches, agencies and entities;
7.To lead the work of all the organs in the Association;
8.To formulate the Association's internal management system;
9.To decide the candidates to the honorary presidents, consultants and honorary directors;
10.To decide other vital affairs.
Article 20 The executive council meeting are to be held by more than two thirds of the directors,and its resolution can not take effect until more than two thirds of all those attendances adopt the motion.If a director is unable to attend a meeting of the board for certain reasons,he may entrust another director in writing with attending the meeting on his behalf.
Article 21 The regular meeting of the executive council is held on an annual basis;under specific conditions,the meeting can also be held by correspondence.
Article 22 A standing executive council has been established in the Association.The standing executive council is elected by the executive council and executes the functions and powers of subarticles 1, 3, 5, 6, 7, 8, 9 and 10 in Article 20.It is responsible to the executive council.The executive directors shall be no more than one third of the directors.
Article 23 The standing executive council meeting are to be held by more than two thirds of the executive directors,and its resolution can not take effect until more than two thirds of all those attendances adopt the motion.If an executive director is unable to attend a meeting of the board for certain reasons,he may entrust another executive director in writing with attending the meeting on his behalf.
Article 24 The regular meeting of the standing executive council is held on an semi-annual basis;under specific conditions,the meeting can also be held by correspondence.
Article 25 President, vice presidents and secretary-general of the Association shall meet the following conditions:
1.To stick to the Party's lines, guidelines and policies and possess good political makings;
2.To possess an important reputation in the Association's professional field;
3.To be no more than 70 years old when in the positions of the president, vice presidents and secretary-general. The secretary-general shall be full-time. The responsible persons in all the offices, branches, agencies and entities shall be no more than 70 years old.
4.To be in a healthy condition and competent for the daily work;
5.To be the citizen of the People’s Republic of China.
6.Without a history of having been subject to a criminal penalty up to be deprived of political rights;to have full civil capacity.
Article 26 In case the age of the president,vice presidents or secretary-general exceeds the highest limit,the nomination shall be voted and adopted by the executive council,examined by the Ministry of Health and approved by the Ministry of Civil Affairs.
Article 27 The president,vice presidents and secretary-general serve a five-year tenure,and reelection may allow the tenure be extended by one term only.In the event that the tenure must be extended under specific conditions,it shall be voted and adopted by more than two thirds of the deputies to the national representative assembly of members,and the result shall be examined by the Ministry of Health and approved by the Ministry of Civil Affairs.
Article 28 The president is the legal representative of the Association.
The legal representative of the Association should not hold the same position in other organizations.
Article 29 The president of the Association exercises the following functions and powers:
1.To convene and preside the meetings of the executive council and the standing executive council;
2.To check and direct the implementation of the resolutions made by the national representative assembly of members, the executive council and the standing executive council.
3.To sign vital documents in name of the Association.
4.To decide the employment of the key responsible persons of all the offices, branches, agencies and entities.
Article 30 The secretary-general of the Association, under the leadership of the president,exercises the following functions and powers:
1.To exercise unified leadership over the offices' daily work,and organize the implementation of the Association's annual work plan;
2.To coordinate the work of all the offices, branches, agencies and entities;
3.To nominate the deputy secretary-general and the chief directors of the offices,branches,agencies and entities,and refer the list to the president for decisions;
4.To decide the employment of the full-time staff in all the offices,branches,agencies and entities;
5.To handle other daily affairs.
Article 31 The executive committee may elect to establish a variety of subcommittees, if necessary, to deal with the respective tasks assigned by the executive council.
Chapter 5 Principles of assets management and utilization
Article 32 The sources of the Association's funding consist of:
1.Membership billings.
2.Social donations.
3.Government grants and subsidies.
4.Revenues derived from the Association's enterprising endeavors,including economic and technical entities relevant with the purpose,aim,and mission of this Association as well as activities and services conducted within the verified business range.
5.Interest derive from fund management.
6.Other types of legal incomes.
Article 33 The Association collects membership billings in accordance with the State's relative stipulations.
Article 34 Funding of the Association must be used within the business range and for the benefit of the business development.Any distribution of funding among members is forbidden.
Article 35 The Association shall strictly obey the relevant laws and regulations of China and establish a financial management system accordingly to ensure the validity,authenticity,veracity and integrality of the accounting data.
Article 36 The Association has been provided with qualified accountants.The accountants are forbidden to hold a concurrent post of cashier.The accountants shall carry out business accounting and implement accounting supervision.In the event that the accountants change their jobs or leave their posts,they should go through the hand-over procedures with the successors.
Article 37 The assets management of the Association shall be conducted in accordance with the State's relevant stipulations on financial management system and shall be under the supervision of the national representative assembly of members and fiscal administrative departments.When the assets origin from the government grants and subsidies or from social donation and funding,they shall be under the supervision of the audit organs and report the relative situations to the society in a proper way.
Article 38 Before the reelection and change of the legal representative of the Association, the financial situations shall be audited by an audit team jointly organized by the Ministry of Civil Affairs and the Ministry of Health.
Article 39 Any other unit and/or individual shall not occupy,distribute or appropriate the assets for other use without permission.
Article 40 The salary,insurance and welfare of the Association's full-time staff is arranged according to the State's relative stipulations on public institutions.
Chapter 6 Revision procedures of the Statutes
Article 41 Revision of these Statutes shall be voted and adopted by the executive council and thereafter be taken into deliberation by the national representative assembly of members.
Article 42 The revised Statutes is to become effective upon duly examined and approved by the Ministry of Health and recognized by the Ministry of Civil Affairs. The revised Statutes shall be submitted to these two Ministries within 15 days after having been adopted by the national representative assembly of members.
Chapter 7 Termination procedures and post-termination assets treatment
Article 43 In the event that the Association completes its mission or disbands by itself or nullifies its registration for the reasons such as division and mergerthe termination of the Association shall be motioned by the executive council or the standing executive council.
Article 44 The motion of terminating the Association shall be adopted by the national representative assembly of members and duly examined and approved by the Ministry of Health.
Article 45 Before the termination of the Association,a liquidation team shall be established under the instructions of the Ministry of Health and other relative organs to handle creditor's rights and debts and deal with problems arising from the termination.Pending the completion of liquidation,the Association will not carry out other activities other than liquidation.
Article 46 The Association will be regarded as duly terminated after the Ministry of Civil Affairs settles the procedure of cancellation application.
Article 47 Any residual assets at the termination of the organization shall be utilized in the undertakings related with the Association's mission under the supervision of the Ministry of Health and the Ministry of Civil Affairs and in accordance with the State's relevant stipulations.
Chapter 8 Supplements
Article 48 The right of interpretation of these Statutes lies with the executive council.The proposed amendment of these Statutes shall be ratified by a favorable vote of two-thirds majority of the representatives of the national representative assembly of members present and voting,and such amendments to these Statutes become effective only after having been examined and approved by the Ministry of Health and Ministry of Civil Affairs.
Article 49 These Statutes is to become effective upon duly recognized by the Ministry of Civil Affairs.
